Gerry has three decades of experience working with the emerging company community. His experience started in the late 1980s with his role as an SEC attorney, where he reviewed IPO filings (at a time when IPOs of small companies were commonplace). In his early years of private practice, Gerry handled many IPOs of smaller companies. As time passed and public market dynamics radically changed, his work consistently included attention to, and nurturing of, emerging companies.
His experience includes countless early and later-stage financings for companies and investors, as well as acting as outside general counsel to young companies, their management and boards. Gerry guides them on myriad issues, including entity choice/tax structuring, investment structuring, governance, equity compensation arrangements, IP development, strategic collaborations, and exit planning and execution.
When Gerry helps a company, he brings passion, experience and decisiveness to every issue. He gets to know his clients as people to truly understand what drives their entrepreneurial vision. He shares his deep network of contacts to help his clients succeed. Despite a schedule involving periodic international travel, Gerry is highly accessible night and day. He has the experience and judgment to see the big picture without losing sight of important details. He is a collaborative, hands-on leader who brings out the best in people. Clients praise him for his realistic approach to assessing risk, efficiently focusing on the important issues, and crafting creative solutions to achieve strategic goals.
Gerry handles domestic and cross-border transactions in many industries, including emerging technology, energy, life sciences, food and beverage, manufacturing & distribution real estate, and consumer products. During his career, he has handled capital markets and M&A matters having an aggregate transaction value well in excess of $20 billion.
When Gerry is not working, he loves eating good food from around the world, drinking good wine, driving fast cars (not while enjoying wine!), international travel, fishing, and golf.
